Sichuan Langting Xusheng Import and Export Trading Co., Ltd. (referred to in these Terms as “Langting Pergola”, “we”, “us” or “our”) supplies aluminium garden pergolas, aluminium louvre systems and related outdoor living products for international distributors, dealers and project buyers. These Terms and Conditions govern your use of this website and any quotation, order or enquiry you make with us. By using this website or placing an order you accept these Terms in full.
The website www.langtingpergola.com is a product catalogue and enquiry platform. It is operated by Langting Pergola for the purpose of presenting our product range, providing technical information and receiving business enquiries. The website does not process payments and does not offer a shopping cart checkout. All commercial transactions are concluded directly between you and us by email or by the business contact details listed in Section 16.
We design, manufacture and export the following product families:
Product availability, technical specifications and colour options may change without notice. The specification on our website is indicative only. The specification agreed in a written quotation or order confirmation is the binding one.
3.1 All prices quoted by us are stated in United States Dollars (USD) or in the currency stated on the quotation, and are exclusive of import duties, taxes, port charges and inland delivery unless expressly stated otherwise.
3.2 Unless a quotation states a fixed validity period, a quotation is valid for thirty (30) days from the date of issue and may be withdrawn or revised by us before your written acceptance.
3.3 Quotations are issued for container-load, project and bulk orders. We may decline to quote for quantities below our stated minimum order quantity.
4.1 Your order becomes binding only when we issue a written order confirmation or a proforma invoice by email. Placing an enquiry on this website or sending a form does not by itself constitute an order or a contract.
4.2 We may decline or cancel an order, in whole or in part, without liability, where we reasonably believe that the order is affected by a pricing error, a stock or production limitation, a change in raw material prices, a force majeure event, or where the information supplied by you is materially inaccurate.
5.1 This website does not accept payment. All amounts are settled by bank transfer to the account details stated on the proforma invoice issued by us.
5.2 Unless the order confirmation states otherwise, our standard terms are a deposit of thirty percent (30%) of the order value before production starts, with the balance payable against a copy of the bill of lading or other agreed shipping document. Larger projects or first orders may require different terms, which we will state in the order confirmation.
5.3 Bank transfer charges, correspondent bank charges and any charges levied by your bank are borne by you. You are responsible for converting and remitting funds in the agreed currency.
5.4 Title in the goods passes to you only when we have received the full order value. Risk of loss or damage passes to you on delivery as defined in Section 7.
6.1 Lead times are estimated and counted in working days from the date we receive the agreed deposit and final approved drawings, samples or specifications, whichever is later.
6.2 Lead times shown on our website or in a quotation are indicative. Delays caused by late approval of drawings, late changes to specification, raw material price or availability changes, transport disruption, or force majeure are not breaches of these Terms.
6.3 We may ship partial deliveries where this is agreed in advance, and the order value is invoiced proportionally.
7.1 Delivery terms are agreed per order using Incoterms 2020, most commonly FOB, CIF or EXW from our nominated port or factory. The applicable Incoterm is stated on the proforma invoice and forms part of the order confirmation.
7.2 We provide a packing list, commercial invoice and, on request, the certificate of origin and material test certificates. Documentation for regulated goods or for the importing country must be requested before production.
7.3 Delivery is subject to inspection by a nominated third party, where the buyer has appointed one, at the buyer’s cost. Claims for visible shortage or damage must be notified in writing within seven (7) days of arrival, with photographic evidence.
8.1 Unless a different standard is agreed in writing, our aluminium products are manufactured to commonly applied international standards for anodised aluminium profiles and to the motor and control specifications stated in the quotation.
8.2 It is the buyer’s responsibility to confirm that the products comply with the building codes, electrical requirements, snow and wind load limits and any import or customs regulations applicable at the destination. Where project-specific certification is required, please state this in your enquiry so that we can quote for it.
8.3 Colour and finish appearance may vary slightly between production batches and between physical samples and production goods.
9.1 We warrant that the goods are free from defects in materials and workmanship at the time of delivery.
9.2 The warranty period is twelve (12) months from the date of delivery, or such longer period as is expressly agreed in the order confirmation. Wear from normal use, incorrect assembly, operation beyond rated capacity, exposure to conditions outside the published specification, and unauthorised modification or repair are excluded.
9.3 Warranty claims must be made in writing within the warranty period with the order reference, description of the defect, photographs and, where relevant, a short video. Our decision on warranty liability is final for the purpose of this clause.
10.1 The design, layout, text, images, photographs, videos, logos and product drawings on this website are owned by us or our licensors and are protected by copyright and related rights.
10.2 We grant you a limited, revocable, non-exclusive, non-transferable licence to download and print product information from this website for your own internal business evaluation. You may not resell, republish, or use our content to train machine learning or scraping systems without our prior written consent.
10.3 Our product designs, model registrations and manufacturing methods remain our property. Purchase of goods does not transfer any intellectual property rights in them.
11.1 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be limited.
11.2 To the fullest extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, loss of business opportunity, loss of anticipated savings, or damage to goodwill, arising from your use of this website or from any order placed with us.
11.3 To the fullest extent permitted by law, our total aggregate liability in connection with any order is limited to the invoice value of the goods concerned.
12.1 Each party shall keep confidential all non-public commercial and technical information disclosed to it in connection with a quotation, order or negotiation, and shall use that information only for the purpose of the order.
12.2 This obligation does not apply to information that is public, already known to you without restriction, independently developed by you, or required to be disclosed by law or a competent authority.
13.1 Neither party is liable for failure to perform caused by an event beyond its reasonable control, including natural disaster, epidemic, war, terrorism, civil unrest, government action, port closure, strike, or interruption of power, raw material supply or transport. The affected party must notify the other as soon as practicable.
14.1 We may update these Terms from time to time. The version in effect at the time your order is confirmed is the version that applies to that order.
14.2 We aim to keep the website accurate, but product information, images and specifications may be changed or withdrawn. Please re-read these Terms before placing an order.
15.1 These Terms are governed by the laws of the People’s Republic of China, without regard to its conflict of law provisions.
15.2 Any dispute arising out of or in connection with these Terms or an order shall first be resolved by good-faith negotiation between the parties. If the dispute is not resolved within thirty (30) days of a written request for negotiation, the parties shall refer it to arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC), to be conducted in English, with the seat of arbitration in Shanghai. The arbitral award is final and binding on both parties.
